Information disclosure is one of significant channels helping shareholders, who do not participate in management, monitor and evaluate the performance of management team. The Office of the Securities and Exchange Commission (SEC), thus, set a rule for listed companies to continuously disclose information about their company's operation after the offering process. During last two years, SEC has promoted and acknowledged listed companies to realize the importance of good information disclosure system in order that investor will gain sufficient information in making decision to sell or buy company's securities. In 2002, Government announced it as " Year of Good Corporate Governance" with policies encouraging various organizations in attempt to effectively implementing corporate governance for a better performance and distinctive result. According to these policies, SEC initiated this project to offer Disclosure Award for corporations having an excellent information disclosure system. Also, this award will motivate other companies to realize the importance of information disclosure and to apply those good examples as their guidelines in the future.

Presently, SEC supervises information disclosure of more than 380 listed companies and one of its supervision duties is to review information in form 56-1. With a handful of current working staff, SEC, certainly,cannot review information disclosure of all listed companies at once.
In order to review Form 56-1, the SEC, therefore, invtied all listed companies to participate in this project and, at the same time, encourage companies with high standard of information disclosure system in the past and companies with good operating performance and high free float to join this project.

In annual information disclosure review 2001, SEC checked from both information disclosure in Form 56-1 and annual financial statement. This method focused only on the reviewing of disclosed information not focus on the auditing of accurated information, which is implemented only when there is an evidence indicating the information conceal/false there is a complaint.

Form 56-1 must:

	Follow the SEC requirements.
	Clarify accurate and clear information for investors to understand the operation and significant change of the corporation
	Clarify adequate information for investors to evaluate possible risks

Financial statement must not contain a comment concerning the compliance of the IAS or IFACT such as auditors' comment of disagreement in financial statement or auditors' comment indicating that scope of financial statement review is limited by executives.

The selected companies that has a good information disclosure will receive this benefits as following:
	Obtain facilitation for a faster offering process.
	Receive an honor and announce through public and web site of SEC.

According to an annual review Form 56-1 in 2001 from 115 participated companies, it is shown that 40 companies, calculated as 35 percent of total companies reviewed, has a qualified standard of good information disclosure and deserve to receive " Disclosure Award in Year 2002" , and is listed as following
